Genenta Science S.p.A. informs its investors that, in connection with the renewal of certain commercial arrangements with The Bank of New York Mellon, as depositary of the Company’s American Depositary Share (“ADS”) program, a number of changes have been implemented with direct benefits for ADS holders. Effective as of January 1, 2026, the fee payable in connection with the conversion of ordinary shares into ADSshas been reduced by 50%, from US$0.05 per ADS to US$0.025 per ADS (equivalent to US$2.50 per 100 ADSs). In addition, the annual ADS depositary and maintenance fees payable by ADS holders have been reduced on a consistent basis, applying the same proportional reduction and in accordance with the pro rata temporis principlesalready provided for under the original depositary agreement. As a result, ADS holders will benefit from lower ongoing costs for the holding of ADSs, calculated proportionally based on the period during which the ADSs are held. These changes are intended to further enhance the efficiency and attractiveness of the Company’s ADS program, while ensuring transparency and consistency in the application of fees to investors. Genenta Science S.p.A. informa i propri investitori che, nell’ambito dell’aggiornamento di alcuni accordi commerciali con The Bank of New York Mellon, in qualità di banca depositaria del programma di American Depositary Shares (“ADS”) della Società, sono state introdotte alcune modifiche con benefici diretti per i titolari di ADS. Con effetto dal 1° gennaio 2026, la commissione applicabile alla conversione delle azioni ordinarie in ADS è stata ridotta del 50%, passando da USD 0,05 per ADS a USD 0,025 per ADS (equivalente a USD 2,50 per 100 ADS). Inoltre, anche le commissioni annuali di deposito e gestione degli ADS, applicate ai titolari degli ADS, sono state ridotte in modo coerente, secondo la medesima logica proporzionale, e continueranno ad essere calcolate in conformità ai criteri di applicazione pro rata temporis già previsti dal Depositary Agreement originario.
